Terms and Conditions – Ad Placement Services

1. Introduction
These Terms and Conditions (“Agreement”) govern the provision of ad placement services (“Services”) by Balieverything.com (“Provider”) to the client (“Advertiser”). By using the Services, the Advertiser agrees to be bound by these terms.

2. Service Description
2.1 The Provider offers ad placement services on the Balieverything.com website and affiliated platforms.
2.2 The Services include the creation, design, and placement of advertisements as agreed upon between the Provider and the Advertiser.

3. Advertiser Responsibilities
3.1 The Advertiser must provide accurate and up-to-date information for the creation and placement of the advertisement.
3.2 The Advertiser is responsible for obtaining any necessary permissions, rights, or licenses for the content used in the advertisement.
3.3 The Advertiser shall comply with all applicable laws, regulations, and industry standards regarding the advertisement’s content and placement.

4. Advertisement Approval
4.1 The Provider reserves the right to approve or reject any advertisement at its sole discretion.
4.2 If an advertisement is rejected, the Provider will notify the Advertiser and provide a reason for the rejection.
4.3 The Advertiser shall promptly address any concerns raised by the Provider and resubmit the advertisement if necessary.

5. Payment Terms
5.1 The Advertiser shall pay the agreed-upon fees for the Services as stated in the invoice provided by the Provider.
5.2 Payment is due within the agreed-upon timeframe from the invoice date.
5.3 If payment is not received by the due date, the Provider may suspend or terminate the Services until payment is made.

6. Intellectual Property Rights
6.1 The Advertiser retains all intellectual property rights to the content provided for the advertisement.
6.2 The Provider may display the advertisement solely for the purpose of providing the Services.
6.3 The Advertiser grants the Provider a non-exclusive, royalty-free, worldwide license to use the advertisement for promotional purposes related to the Provider’s services.

7. Termination
7.1 Either party may terminate this Agreement by providing written notice to the other party.
7.2 Upon termination, the Advertiser shall pay any outstanding fees owed to the Provider.
7.3 The Provider shall remove the advertisement from its platforms within a reasonable timeframe upon termination.

8. Limitation of Liability
8.1 The Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services.
8.2 The Provider’s total liability for any claim arising from or related to the Services shall not exceed the fees paid by the Advertiser for the specific advertisement in question.

9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.

10. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Services and supersedes any prior agreements or understandings, whether written or verbal.

By using the Services provided by Balieverything.com, the Advertiser acknowledges that they have read, understood, and agreed to these Terms and Conditions.
